Partner agreement

The terms of the Zap Cloud partner program, between ZapAGI Inc. (“ZapAGI”, “we”) and you as a partner (“you”). You accept them when you apply.

Effective October 31, 2026

1. Joining

Anyone may apply at zapagi.ai/partners. We review every application and may decline one without giving a reason. Once approved you receive a referral link (zapagi.ai/r/your-code) and code. You are an independent contractor: nothing in this agreement makes you our employee, agent or representative, and you may not make promises on our behalf.

2. Referrals

A customer is referred by you when they create a Zap Cloud account within 60 days of clicking your link (the last partner link clicked before signing up counts), or when they enter your code at signup; a code entered at signup takes precedence over a link. A customer is referred once and stays referred by the same partner. You cannot refer yourself, an account you control, or anyone at your own business email address. People you refer get 10% off their first 3 monthly payments (Terms of Service, section 3d).

3. Commission

You earn 20% of each payment we receive from a customer you referred, excluding taxes, for as long as they keep a paid subscription and this program runs. A free trial earns nothing until it becomes a paid plan. Each commission is held for 30 days and then becomes available. If a payment is refunded or disputed, the commission on it is reversed; if it was already paid to you, the amount is deducted from your next payouts. We may change the rate for future payments with 30 days’ notice by email; commissions already earned are not affected.

4. Payouts

We pay monthly through Stripe once your available balance is at least $50. To be paid you complete Stripe’s onboarding (identity, bank account and tax details) in a country Stripe supports. You are responsible for your own taxes; in the US, Stripe sends the tax forms required by law. If you have not completed onboarding, your balance stays available for you.

6. Rules

You may not: bid on “ZapAGI” or similar terms in search or social ads, or use them in domain names or account names; send spam or unsolicited messages; make claims about ZapAGI that are not on our websites, including about prices, features, availability or results; offer cash back or other incentives for using your link unless we agree in writing; set our cookie without a real click (for example with hidden images or frames); post fake reviews; or use our logos other than from the materials we give you. Breaking these rules lets us withhold commissions earned through the breach and end your participation.

7. Ending

You may leave at any time by emailing us. We may suspend or end your participation, or end the program, with 30 days’ notice, or at once for a breach of section 5 or 6. Commissions earned and not reversed before the end are paid under section 4; no new commissions are earned after it.

8. Your information

We use your name, email, payout status and referral statistics to run the program, as described in our Privacy Policy. You see totals for your referrals (clicks, sign-ups, commissions), never who the visitors or customers are.

9. Liability and law

The program is provided as is. To the extent the law allows, our total liability to you under this agreement is limited to the commissions owed to you. This agreement is governed by the laws of the State of South Dakota, US. We may update it with 30 days’ notice by email; continuing in the program after that means you accept the update.
